Please read the Terms and Conditions before joining GigBag as a teacher. We provide singing classes, music classes, language classes, all extra-curricular activities, and dance classes also.

This briefing document is meant for the faculty members and the people joining TeachTribe OPC Pvt. Ltd. for full-time or as freelancer/part-time/consultant etc.

Now in consideration of mutual covenants and promises set forth herein, the “Parties” agree as follows:

TeachTribe OPC Pvt. Ltd. hereby engages “Service Provider” to provide services and to provide deliverables (‘Deliverables’) as per the terms and conditions of each of the applicable statement of work (“Statement of Work” or “SOW”).

If this document is not in a language that you can understand, you shall contact TeachTribe OPC Pvt. Ltd. at contact@gigbag.info. Failure to do so within 12 (twelve) hours from the time of receipt of this document shall be considered as your understanding of this document.

Terms & Conditions:

Services:

TeachTribe OPC Pvt. Ltd. is engaged in the business of providing educational services and also provides musical instruments on rent. The TeachTribe OPC Pvt. Ltd. has represented that the “Service Provider” fulfills the eligibility criteria and is in compliance with all applicable laws for the provision of education services through our GigBag Portal.

An “Service Provider” who is a teacher/freelancer/part-time faculty member or desirous of listing himself and his instruments on the GigBag Portal, or any consultant desirous to provide educational services through his or our instrument(s) to the users of our GigBag Portal will also has to sign this “Service Provider” agreement.

TeachTribe OPC Pvt. Ltd. owns and operates an online booking platform called “GigBag Booking Services” and any upgrades on the website from time to time or any other software that enables the use of the application or such other URL will be specifically provided by TeachTribe OPC Pvt. Ltd. (“GigBag Portal”) that lists and aggregates the “Service Provider” registered with it. “Parties” will execute one or more SOWs from time to time as per the client requirement.

Each SOW will broadly specify the following details:

i) date of commencement of services, ii) duration of services, iii) scope of services and deliverables, iv) performance standards, vi) acceptance criteria, viii) fees, ix) Payment terms, ix) termination of SOW, and (x) any other details. The “Parties” with written approval can modify some terms and conditions of SOW. In case of inconsistency between this Agreement and any SOW, the “Parties” will work on it and negotiate it with mutual consent.

The “Service Provider” needs to submit their identification documents, complete the KYC on the GigBag Portal and compulsory needs to be a member of TeachTribe OPC Pvt. Ltd. online “GigBag Portal” for providing educational services through our GigBag Portal. Therefore, “Service Provider” hereby understands and consents to the collection, storage and sharing of Aadhaar card and any information extracted therefrom with Third-Party Vendors and/or Government Authorities, for the process of onboarding and background verification.

The “Parties” hereby represents that the “Service Provider” has read and understood this Service Agreement and all the T&C fully.

2. Music Instruments:

TeachTribe OPC Pvt. Ltd. shall also provide complete instructions to the “Service Provider” in the use of the third-party vendors “NON-GIGBAG INSTRUMENTS.” The “Service Provider” will be responsible for properly handling and managing third-party vendors' instrument(s). Any issues should be reported as per the clause mentioned above. In the event, the Product(s) is stolen or damaged beyond repair, the “Service Provider” shall be liable to pay TeachTribe OPC Pvt. Ltd. the market price of the product(s). The minor scratches shall be considered as normal wear and tear. The extent of damage will be ascertained by comparing the quality control document signed at the time of allocation of the musical instrument.

If it is found that in any product(s), any substandard parts are used, or repair carried out by any person not authorized by TeachTribe OPC Pvt. Ltd., then a penalty may be levied as per the policy of TeachTribe OPC Pvt. Ltd. Any removal, alteration, disfiguring or cover up any numbers, lettering, or insignia displayed on any product(s) shall be considered as damage to the product(s) and shall be chargeable against the “Service Provider.”

3. MAINTENANCE & INSPECTION:

TeachTribe OPC Pvt. Ltd. shall provide maintenance of the Product(s) provided to the “Service Provider”, for the entire duration of the Agreement or on request from the “Service Provider.” The periodic maintenance shall not include any damage or breakdown due to mishandling by the “Service Provider.” TeachTribe OPC Pvt. Ltd. shall carry out the maintenance/repair of the Product(s) within 5-6 working days after the request has been raised by the “Service Provider”, In the event, the issue is not resolved during repair, TeachTribe OPC Pvt. Ltd. shall provide a replacement for the Product(s). Any additional cost incurred by TeachTribe OPC Pvt. Ltd. during the maintenance and cleaning due to damages by the “Service Provider” shall be borne solely and paid by the “Service Provider”, either via online payment or as advised by TeachTribe OPC Pvt. Ltd. service representative.

TeachTribe OPC Pvt. Ltd. reserves the right to inspect the Product(s) anytime during the term of the Agreement. TeachTribe OPC Pvt. Ltd. shall provide reasonable prior intimation to the “Service Provider” regarding the visit for inspection of its representative to avoid any inconvenience to the “Service Provider.” The “Service Provider” shall ensure that the representative of TeachTribe OPC Pvt. Ltd. is provided with proper access to all the Product(s) premises for inspection. TeachTribe OPC Pvt. Ltd. shall be entitled to call upon the “Service Provider” for review and inspection of the instrument(s).

The “Service Provider” shall fully cooperate with TeachTribe OPC Pvt. Ltd. in conducting such an inspection of the instrument(s). The inspection of the instrument(s) can also be done at the office of TeachTribe OPC Pvt. Ltd. A prior intimation inspection method will be updated 2 days before to the “Service Provider.” In the event, the “Service Provider” fails to produce the Instrument(s) for inspection within the prescribed timeline (3 days) or doesn’t cooperate with TeachTribe OPC Pvt. Ltd. for inspection, TeachTribe OPC Pvt. Ltd. shall be entitled to take action under this Agreement.

They shall not use the instrument(s) for any illegal or unlawful purposes and shall use the instrument(s) solely in accordance with the terms of this Agreement.

They shall not use the assigned ( instrument(s) for any illegal or unlawful purposes and shall use these Instrument(s) solely for purposes determined by and strictly in accordance with this Agreement.

They shall ensure that the instrument(s) is maintained in their possession in a proper manner. TeachTribe OPC Pvt. Ltd. shall be entitled to terminate the Agreement with immediate effect, without prejudice to Teach Tribe OPC Pvt. Ltd.’s rights under this Agreement and under applicable law. Upon termination of this Agreement or deactivation of your Account, the “Service Provider” shall immediately return the assigned instrument(s) and in any event not later than 24 (Twenty-Four) hours from the date of such termination or deactivation.

(The conditions mentioned above are not applicable in case of own Instrument. Moreover, TeachTribe OPC Pvt. Ltd. not liable to provide any damage/loss repair cost to the own Instrument).

4. Confidentiality:

6. Payment Terms:

In consideration of TeachTribe OPC Pvt. Ltd. providing the Services and the service information on the GigBag Portal, and for enabling the “Service Provider” to provide services through GigBag Portal, the payments, more particularly set out in the Payment Method Segment below, between the “Service Provider” and TeachTribe OPC Pvt. Ltd.(“Fees”) shall be settled in the manner set out and discussed at the time of the agreement.No traveling allowance will be provided by TeachTribe OPC Pvt. Ltd. for conducting classes at the learner’s place. The “Service Provider” has to bear the cost involved. TeachTribe OPC Pvt. Ltd. reserves the right to change the price as per student with prior notice of 1 month to the “Service Provider.” All bookings need to be done via GigBag Portal.

Subject to receipt of services as mentioned in the Annexure of SOW below, TeachTribe OPC Pvt. Ltd. will pay to the “Service Provider” fees as specified in the Annexure of SOW.

Note: - 1. Fees/ remuneration will be payable based on either the number of students or period criteria.

2. For above criteria, start date will be of course launch date on GigBag portal.

Payment Method: Bank Transfer only. No cash payment will be done and the amount will be released after 30 working days from the date of submission of Invoice to TeachTribe OPC Pvt. Ltd. Income Tax deduction (if applicable) on base Invoice value as per prevailing tax law.

7. Critical and Behavioral Terms:

As a “Service Provider,” you are expected to be punctual and maintain professional conduct at all times. You are expected to communicate effectively with both learner and other family members and address any queries appropriately and professionally. You must not discuss commercials' agreement with anyone. You must not demand or accept any form of payment from the learner. You understand that TeachTribe OPC Pvt. Ltd. has the right to suspend or terminate your registration/membership at any time if, in our view, there has been a breach of the agreement, abuse of the services or any behavioral issues with the client (there will be a proper enquiry before termination). You must provide TeachTribe OPC Pvt. Ltd. with one day notice if you are not able to attend a class so that the message can be conveyed to the client on time. If you are unable to attend class due to illness, then you must telephone and speak with a member of the Teach Tribe OPC Pvt. Ltd., providing as much advance notice as possible prior to the start of your music, singing, and dance class. Advance notice of 1 week is required for all planned holidays. In case of failure to inform us within the above-mentioned stipulated time, the “Service provider” will avail a fine for that. The “Service Provider” will get a bonus for the student referral program as per TeachTribe OPC Pvt. Ltd. Bonus Policy. In case of any sexual harassment complaint from the client the “Service Provider,” registration/membership will be cancelled immediately. The client’s complaints will be taken strictly, the “Service provider” needs to conduct business ethically and in a well-professional manner. The “Service Provider” is required to provide TeachTribe OPC Pvt. Ltd. with a notice of at least 15 days in case you wish to terminate the agreement and no longer want to continue with us.

8. Term and Termination:

9. Notices:

Any notices, requests and other communications required or permitted hereunder shall be in writing in the English language and may be sent by email to contact@gigbag.info, by personal delivery, or by registered post. Either “Parties” needs to inform in writing in case of an address change.

10. Non-performance:

If it fails to perform as per expectations within the agreed timeline or as per quality parameters described by the without prejudice to all rights available to under this agreement, laws, and equity, shall have the right to get such work from any third party at the cost and risk of Service Provider.

11. Entire Agreement:

This Agreement constitutes the entire agreement between the “Parties” with respect to the subject matter of this Agreement and supersedes all prior agreements, term sheets, and communications whether oral or written.

12. Further Assurances: Both the “Parties” agree to do all acts and submit all documents necessary to give effect to the terms and conditions of this Agreement.

13. Language: Governing language of this Agreement, any method of communication and any notices under this Agreement shall be entirely in English.

14. Relationship of Parties: The Relationship between TeachTribe OPC Pvt. Ltd. and the “Service Provider” shall be that of an independent contractor.

15. Dispute Resolution: If at any time, during the period or after expiration/termination of this Agreement, any dispute/difference arises between the “Parties” hereto the same shall be resolved, in the first instance, through co-operation and mutual understanding between the “Parties.”

13. Interpretation: In this Agreement:

Words imparting singular shall include the plural and vice versa.
Words imparting any gender shall include all genders.
Words imparting persons shall include bodies corporate.
